Welcome to Botervet, a digital creative agency providing a wide range of services, including design, development, branding, and digital marketing. By using our website and services, you agree to comply with and be bound by the following Terms & Conditions, which are in accordance with European Union law. Please review these terms carefully.

1. Acceptance of Terms

By accessing or using any part of our services, you agree to be bound by these Terms & Conditions. If you do not agree to all the terms and conditions, you may not access the website or use any services.

2. Services

Botervet offers various digital creative services, which may include, but are not limited to, web design, graphic design, branding, and digital marketing. The specifics of the services provided will be outlined in a separate agreement or proposal for each project.

3. Project Proposals and Agreements

All services provided by Botervet will be outlined in a detailed project proposal or agreement. This document will specify the scope of work, timelines, deliverables, and pricing. Once the proposal is accepted by the client, it becomes a binding agreement.

4. Client Responsibilities

Clients are expected to provide all necessary content, feedback, and approvals in a timely manner. Any delays caused by the client may result in an adjustment of deadlines and possibly additional fees.

5. Payment Terms

• Pricing: All services will be priced as outlined in the project proposal. Additional services requested outside the original scope will be billed separately.
• Payment Schedule: Payments are typically required in installments, such as 50% upfront and 50% upon completion, unless otherwise agreed upon.
• Late Payments: Payments not received by the due date may incur late fees or result in a halt of work until payment is made.
• Right of Withdrawal: If you are a consumer (as defined by EU law), you may have the right to withdraw from the contract within 14 days of its conclusion without providing any reason, unless the service has already been fully performed with your prior express consent.

6. Revisions and Changes

Revisions and changes to the project scope may be requested by the client, but additional work outside the original agreement will be subject to additional fees. A reasonable number of revisions will be included in the original scope as outlined in the project proposal.

7. Intellectual Property

• Ownership: Upon full payment, the client will receive the rights to the final deliverables, excluding any third-party materials or software used. However, all code developed by Botervet, including but not limited to source code, scripts, and proprietary algorithms, will remain the exclusive property of Botervet. The client is granted a non-exclusive, non-transferable license to use the code strictly for the purposes outlined in the project agreement.
• Restrictions: The client may not share, distribute, or resell the code developed by Botervet to any third parties unless explicitly agreed upon in writing. Any unauthorized use, reproduction, or distribution of the code is strictly prohibited and may result in legal action.
• License: Botervet reserves the right to showcase the completed work in its portfolio or for promotional purposes unless otherwise agreed upon in writing.
• Copyright Compliance: All work produced by Botervet will comply with European Union copyright laws, and we expect clients to respect these laws when providing any materials or content.

8. Confidentiality

Both parties agree to keep any confidential information shared during the project private and not disclose it to any third parties without prior consent.

9. Data Protection and Privacy

• GDPR Compliance: Botervet complies with the General Data Protection Regulation (GDPR). Any personal data collected during the course of our services will be handled in accordance with our Privacy Policy and the requirements of GDPR.
• Data Subject Rights: Clients have the right to access, rectify, or delete their personal data, as well as the right to data portability and the right to restrict or object to processing. For more information, please refer to our Privacy Policy.

10. Termination

Either party may terminate the agreement by providing written notice. In the event of termination, the client will be responsible for payment of all work completed up to the date of termination. If you are a consumer, your statutory rights under EU consumer protection laws will apply.

11. Limitation of Liability

Botervet will not be held liable for any indirect, incidental, or consequential damages arising out of or in connection with the services provided. Our total liability will not exceed the total fees paid by the client for the services. Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability which cannot be excluded or limited under applicable law.

12. Governing Law and Jurisdiction

These Terms & Conditions are governed by and construed in accordance with the laws of the European Union and the laws of [Your Country]. Any disputes arising out of these terms will be resolved in the courts of [Your Country]. If you are a consumer, you may also have the right to bring proceedings in the courts of your home country.

13. Dispute Resolution

In the event of a dispute, Botervet encourages clients to first contact us directly to seek an amicable resolution. Under EU law, consumers may also use the Online Dispute Resolution (ODR) platform provided by the European Commission to resolve disputes.

14. Amendments

Botervet reserves the right to amend these Terms & Conditions at any time. Clients will be notified of any changes that may affect their projects or ongoing services. Continued use of our services following any changes constitutes acceptance of those changes.
